The increasing demand for used trucks in Indonesia, particularly in Magetan, has
encouraged individual investors to participate in the used truck trading business
through informal capital investment schemes. In practice, these investments are often
based on trust without written agreements, which creates significant legal risks when
default (wanprestasi) occurs. This study aims to analyze the legal regulation and
dispute resolution mechanisms related to capital investment in used truck sale
transactions at the Putri Tunggal Magetan business unit, as well as the forms of legal
protection available to investors. This research applies a normative legal research
method supported by interviews with the business manager and investors. The
analysis is based on primary legal materials, including Law Number 25 of 2007 on
Investment, the Indonesian Civil Code, and regulations concerning business licensing
and dispute resolution. The results show that although Indonesian law formally
recognizes individual investors and provides normative legal protection, such
protection has not been effectively implemented in practice. This is mainly due to the
absence of written contracts, the lack of legal entity status, and the reliance on trust-
based agreements. Defaults generally take the form of delayed profit distribution and
are commonly resolved through informal negotiations, which fail to provide legal
certainty. This study concludes that effective legal protection for investors requires
written agreements, proper business licensing, and structured dispute resolution
mechanisms to ensure legal certainty and minimize investment risks.
