Abstract

The purpose of this study is to know legal protection towards the direction inside the limited liability company, and to know the rights that has been given to the direction so that they are not be treated carelessly by the majority stockholder. This essay is used to know how to protect the direction to the final desicion of extraordinary general meeting of stockholders. The study method which I used here is normative. This study has been done by interviewing the judge in Bantul District Court and comparing the case from Bantul District Court with Limited Liability Company Law). From this study conclude that the constitution still not be able to protect the direction.
