The topics discussed in this research related to the dissolution of Limited Liability
Company proposed by the Commissioner as well as one of the shareholders the
compay, through a case study PT. Vinytex. The method used ini this research is
normative juridical. Normative research method is also referred to as doctrinal
research is a study that analyzes the law eithher written in the book, or the law
decided by the judge through the court process. Normative legal research is based
on secondary data and emphasizess on speculative-theoretical and normativequalitative
measures. The results of this study indicate that the dissolution of the
Chairman of the District Court, which may be field by certain parties, namely
shareholders, Board of Directors or Commissioners. Because in this case, PT.
Vinytex is no longer in operation/activity and has submitted a request for
dissolutin of the Company through the decision of the General Meeting of
Sharehoders (AGM), but in the General Meeting of Shareholders (AGM) is not
reached quorum.
